Important: These Terms of Service constitute a legally binding agreement between you and USDX. Please read them carefully. By using the USDX Service — including minting or holding USDX tokens — you agree to be bound by these terms and by our Privacy Policy.
01 Acceptance of terms
By accessing the USDX website, using the Transparency Hub, calling the public API, or minting, holding, or redeeming USDX tokens, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the Service.
These terms apply to all users of the Service, including minters, redemption requestors, API consumers, and general visitors to the USDX website.
02 Eligibility
Access to the USDX minting and redemption service is restricted to eligible persons. To be eligible, you must:
- Be at least 18 years of age, or the age of legal majority in your jurisdiction;
- Not be a resident of, or subject to the jurisdiction of, any country or territory that is subject to comprehensive sanctions by the United States, the European Union, the United Kingdom, or the United Nations, including but not limited to Iran, North Korea, Cuba, Syria, and the Crimea, Donetsk, or Luhansk regions;
- Not be individually designated as a Specially Designated National (SDN) or equivalent on any applicable sanctions list;
- Successfully complete identity verification (KYC) as required by USDX and applicable law;
- Have the legal capacity to enter into a binding agreement in your jurisdiction.
USDX reserves the right to determine eligibility in its sole discretion and to decline access to any person without obligation to provide a reason, where permitted by law.
03 The USDX service
USDX is a fiat-collateralised USD stablecoin deployed on multiple EVM-compatible blockchain networks. The Service includes:
- The USDX token smart contracts and supporting protocol contracts on supported networks;
- The minting and redemption interface for eligible users;
- The public Transparency Hub and API for verifying reserve state;
- This website and all associated documentation.
The USDX website and Transparency Hub are informational services available to the general public. Minting and redemption access is restricted to users who have completed KYC verification and are registered in the on-chain Compliance Registry.
04 Minting USDX
USDX tokens are minted only after verified fiat settlement. The minting process is as follows:
- The user submits a minting request through the authorised interface;
- Fiat currency is transferred to USDX reserve accounts via verified banking channels;
- USDX confirms settlement and verifies the amount;
- The Mint/Burn Controller executes the mint transaction on the specified network;
- USDX tokens are delivered to the user's registered wallet address.
USDX is not minted speculatively. No tokens are issued until equivalent fiat has been confirmed as received and settled. Minting may be subject to minimum amounts, processing times, and applicable fees as disclosed at the time of the request.
05 Redemption
Eligible users may redeem USDX tokens for USD fiat currency at a 1:1 ratio, net of applicable fees. Redemptions are subject to the following conditions:
- The user must hold tokens in a wallet address registered in the on-chain Compliance Registry;
- USDX tokens submitted for redemption are permanently destroyed (burned) on-chain;
- Redemption requests are processed in order received, subject to liquidity availability;
- Standard redemption SLAs are published in the documentation and may vary by redemption size;
- USDX reserves the right to delay redemption in exceptional liquidity events, provided the full backing invariant is maintained.
Redemption is not available to persons who have been suspended or frozen under applicable compliance procedures.
06 KYC and AML obligations
Access to minting and redemption is conditional on successful identity verification. You agree to:
- Provide accurate, current, and complete identification information;
- Notify us promptly of any material changes to your identification information;
- Cooperate with ongoing due diligence requests, including enhanced due diligence where applicable;
- Not act as an agent, nominee, or conduit for any undisclosed beneficial owner.
We reserve the right to refuse or suspend service where we are unable to complete required identity verification, or where ongoing monitoring raises material concerns.
07 Compliance registry and freeze
USDX maintains an on-chain Compliance Registry that records the eligibility status of wallet addresses. Token transfers to or from addresses not registered in the Compliance Registry are blocked at the smart contract level.
USDX may, at the direction of a Compliance Operator or pursuant to a lawful order, freeze tokens held at a specific address. A freeze restricts transfers from that address until the freeze is lifted. Freezes may be applied in connection with:
- Suspected sanctions violations or AML concerns;
- A lawful order from a competent court or regulatory authority;
- A confirmed security incident affecting funds at that address.
The freeze and compliance policy is published in full at docs/freeze-compliance-policy/. By using the Service you acknowledge and accept the existence and operation of this compliance mechanism.
08 Prohibited uses
You may not use the Service for any of the following purposes:
- Money laundering, terrorist financing, or any activity that constitutes a financial crime under applicable law;
- Circumventing applicable sanctions, export controls, or financial regulations;
- Creating or facilitating the use of USDX by any person who is not eligible under these terms;
- Attempting to interfere with or disrupt the smart contracts, backend systems, or website;
- Using the public API in a manner that violates the published rate limits or terms of access;
- Misrepresenting the nature or status of USDX to third parties;
- Any other use that is fraudulent, deceptive, or otherwise illegal.
09 Fees
USDX may charge fees for minting and redemption services. Applicable fees will be disclosed at the time of the transaction and deducted from the fiat amount processed. Blockchain network fees ("gas") for on-chain transactions are separate from USDX service fees and are borne by the user.
Fee schedules are subject to change with reasonable notice. Changes to fee schedules apply to transactions initiated after the effective date of the change.
10 Intellectual property
The USDX brand, logo, website content, and documentation are owned by or licensed to USDX. You may not reproduce, distribute, or create derivative works without prior written permission, except as permitted by applicable law or as expressly allowed for press and editorial use under the terms published at press/.
The USDX smart contracts are open source. Use is subject to the applicable open source licence published in the USDX code repository.
11 Disclaimers
No financial advice: Nothing on this website or in any USDX communication constitutes financial, legal, tax, or investment advice. USDX is a settlement instrument, not an investment product. The value of USDX is designed to be stable at 1 USD but is not guaranteed by any government, central bank, or deposit insurance scheme.
The Service is provided "as is". USDX makes no warranty, express or implied, regarding the uninterrupted availability of the Service, the absence of bugs or errors in the smart contracts, or the continued operation of any supported blockchain network. Smart contract interactions are irreversible — you are solely responsible for verifying transaction details before submission.
12 Limitation of liability
To the maximum extent permitted by applicable law, USDX's total liability to you for any claims arising from or relating to the Service shall not exceed the amount of USDX tokens you held at the time the claim arose, valued at their face redemption value.
USDX shall not be liable for: indirect, incidental, special, or consequential damages; loss of profit or revenue; loss arising from blockchain network failures, oracle errors, or third-party custodian insolvency; or any loss resulting from your failure to maintain the security of your private keys or wallet.
13 Indemnification
You agree to indemnify and hold harmless USDX and its affiliates, officers, and personnel from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these terms, your violation of applicable law, or any misrepresentation you make in connection with KYC or compliance procedures.
14 Termination and suspension
USDX may suspend or terminate your access to the minting and redemption service at any time, with or without notice, where:
- You have breached these terms;
- Required by applicable law or a lawful regulatory order;
- Your account or wallet address is subject to sanctions, freeze, or AML concerns;
- You fail to complete required KYC or due diligence procedures.
Termination of minting and redemption access does not affect tokens already held in your wallet. Holders of USDX tokens that have been suspended from service retain the right to seek redemption through applicable legal channels, subject to compliance clearance.
15 Governing law
These terms shall be governed by and construed in accordance with applicable law. Any disputes arising from or relating to these terms or the Service that cannot be resolved by negotiation shall be submitted to the jurisdiction of competent courts in the applicable jurisdiction. Where permitted by law, claims shall be brought in your individual capacity — not as part of a class action.
16 Changes to these terms
USDX may amend these Terms of Service from time to time. Material changes will be communicated by posting a notice on the website with reasonable advance notice. Continued use of the Service after the effective date of any amendment constitutes acceptance of the revised terms. If you do not accept revised terms, you must cease using the Service.
